Platform Terms of Service
Last updated 16 September 2026
Effective Date: 16 September 2026
These Terms of Service ("Terms") constitute a legally binding agreement between you and RealAly ("RealAly," "we," "us," or "our") governing your access to and use of RealAly's websites, applications, communications systems, marketplace, booking tools, subscriptions, payment functionality, video or audio features, educational resources, and related services (collectively, the "Platform").
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, INDEMNIFICATION OBLIGATIONS, AND A BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISION.
By creating an account, purchasing a subscription, booking or participating in a session, providing services through RealAly, clicking "I Agree," or otherwise using the Platform, you agree to these Terms and any applicable role-specific agreement.
If you do not agree, do not use RealAly.
1. DEFINITIONS
"Agent" means a RealAly user seeking professional education, mentorship, perspective, or guidance.
"Advisor" means a person approved by RealAly to provide educational, mentoring, or advisory sessions through the Platform.
"Session" means a communication, consultation, video call, audio call, message exchange, or other advisory interaction facilitated through RealAly.
"User" means any Agent, Advisor, applicant, account holder, or other person using the Platform.
"User Content" means information, files, documents, messages, profile materials, reviews, recordings, photographs, data, or other materials a User submits to the Platform.
2. ELIGIBILITY
You must be at least eighteen years old and legally capable of entering into a binding agreement.
If RealAly requires professional licensure for a particular role, you represent that you hold the required license and that the information you provide concerning that license is accurate.
You may not use RealAly if you have previously been permanently removed from the Platform unless RealAly expressly authorizes your return.
3. ELECTRONIC CONTRACTING
You consent to contracting with RealAly electronically.
Clicking an acceptance button, checking an agreement box, creating an account after being presented with these Terms, purchasing services, or otherwise affirmatively indicating agreement constitutes your electronic signature.
You consent to receiving agreements, disclosures, notices, receipts, and other communications electronically.
You are responsible for maintaining a current email address associated with your account.
4. REALALY IS A MARKETPLACE AND EDUCATIONAL PLATFORM
RealAly facilitates access to independent real estate professionals for education, professional development, mentorship, and general professional perspective.
REALALY IS NOT:
- a real estate brokerage;
- a supervising broker;
- a principal broker;
- an attorney or law firm;
- a title company;
- an escrow agent;
- a lender;
- a mortgage broker;
- an accountant;
- a tax adviser;
- an investment adviser;
- an insurance producer;
- a transaction coordinator;
- an employer of Agents;
- the representative of a buyer, seller, landlord, tenant, or other transaction party; or
- a party to any real estate transaction discussed through the Platform.
RealAly does not supervise, control, approve, negotiate, review, or direct any real estate transaction merely because the transaction or a related situation is discussed through RealAly.
5. NO BROKERAGE OR AGENCY RELATIONSHIP
Use of RealAly does not create a brokerage, agency, fiduciary, employment, partnership, joint venture, franchise, or representative relationship between RealAly and any User.
An Advisor does not become an Agent's principal broker, managing broker, supervising broker, broker of record, representative, fiduciary, or transaction partner merely by participating in a Session.
Nothing communicated through RealAly constitutes approval by an Agent's brokerage or supervising broker.
6. EDUCATIONAL INFORMATION ONLY
Information provided through RealAly is intended for education, mentorship, professional development, and general informational purposes.
A Session may include discussion of professional experience, sales techniques, negotiation concepts, prospecting, marketing, business systems, communication, career development, general transaction concepts, and other real estate industry topics.
Advice or information obtained through RealAly may not be appropriate for every person, brokerage, market, contract, transaction, jurisdiction, or factual situation.
Users are responsible for independently evaluating all information received.
7. NO LEGAL ADVICE
REALALY DOES NOT PROVIDE LEGAL ADVICE.
Unless RealAly expressly offers a separately structured legal service through properly engaged legal counsel, no communication through RealAly creates an attorney-client relationship.
Advisors shall not use RealAly to provide legal opinions or hold themselves out as acting as another User's attorney.
Discussions concerning statutes, regulations, contracts, forms, disputes, deadlines, litigation, legal rights, legal obligations, or regulatory requirements must be treated as general educational discussion only.
Users should consult qualified legal counsel concerning legal questions.
An Advisor's separate status as an attorney, if applicable, does not automatically create an attorney-client relationship through RealAly.
8. NO TAX, ACCOUNTING, INVESTMENT, OR FINANCIAL ADVICE
RealAly does not provide tax, accounting, investment, financial planning, insurance, mortgage, or other regulated professional advice unless expressly stated through a separately authorized service.
Users should consult the appropriate licensed professional for those matters.
9. REAL ESTATE LICENSING AND BROKER SUPERVISION
Each User is solely responsible for compliance with the laws, regulations, professional rules, licensing restrictions, brokerage policies, supervision requirements, MLS rules, association rules, and ethical obligations applicable to that User.
Nothing on RealAly authorizes a User to perform an activity for which that User is not properly licensed.
Agents remain responsible for obtaining any approval, instruction, review, or supervision required from their principal broker, managing broker, broker of record, employing brokerage, attorney, or other responsible professional.
Advisors may not represent that their guidance overrides or substitutes for required brokerage supervision.
10. NO AUTHORITY OVER TRANSACTIONS
RealAly and its Advisors do not assume responsibility for:
- preparing or approving a contract;
- determining whether a contract should be signed;
- determining whether contractual rights should be exercised;
- determining whether a contingency should be waived;
- calculating or interpreting legal deadlines;
- directing escrow or trust funds;
- directing wire transfers;
- negotiating on behalf of a User or client;
- establishing brokerage compensation;
- determining compliance with state-specific forms;
- determining disclosure obligations;
- directing a User to breach an agreement; or
- making a final transaction decision.
The individual licensed professional handling the transaction remains responsible for that transaction.
11. USER RESPONSIBILITY AND INDEPENDENT VERIFICATION
You understand that real estate decisions may involve significant financial and legal consequences.
You are responsible for independently verifying information before relying upon it.
You agree that you will not rely solely upon RealAly or an Advisor when deciding whether to execute, modify, terminate, waive, disclose, negotiate, fund, close, or otherwise act in connection with a transaction.
You are responsible for all decisions you make and all actions you take.
12. NO GUARANTEE OF RESULTS
Neither RealAly nor any Advisor guarantees:
- listings;
- closings;
- transactions;
- commissions;
- leads;
- revenue;
- business growth;
- brokerage approval;
- regulatory compliance;
- legal outcomes;
- negotiation outcomes;
- client retention;
- career advancement; or
- any particular financial or professional result.
Past performance or experience does not guarantee future results.
13. ADVISOR VERIFICATION DOES NOT CONSTITUTE AN ENDORSEMENT
RealAly may review or verify certain Advisor information, including identity, licensure, professional history, experience, or other credentials.
Any verification reflects only the information available at the time of review.
RealAly does not guarantee that:
- an Advisor's license will remain active;
- an Advisor has disclosed every disciplinary matter;
- an Advisor's statements are accurate;
- an Advisor is appropriate for a particular User;
- an Advisor's advice is correct;
- an Advisor will comply with all applicable laws; or
- an Advisor will achieve any particular result.
Terms such as "verified," "approved," "vetted," "experienced," or similar descriptions do not constitute a guarantee, certification, warranty, or endorsement.
14. CONFIDENTIALITY AND TRANSACTION SAFETY
Users should disclose only information reasonably necessary for an educational discussion.
Users should anonymize transaction situations whenever reasonably possible.
Users must not unnecessarily disclose:
- Social Security numbers;
- tax identification numbers;
- bank account numbers;
- payment card numbers;
- wire instructions;
- passwords;
- security credentials;
- alarm codes;
- lockbox codes;
- access credentials;
- medical information;
- identity documents;
- confidential financial records;
- private client contact information;
- authentication codes; or
- similarly sensitive information.
Users should redact unnecessary identifying information from transaction documents before sharing them.
15. AUTHORITY TO DISCLOSE INFORMATION
By submitting information to RealAly or sharing information during a Session, you represent that you have the lawful right and authority to disclose that information.
You shall not disclose information in violation of:
- a client's confidentiality rights;
- fiduciary duties;
- brokerage policies;
- court orders;
- protective orders;
- contracts;
- privacy laws;
- professional obligations; or
- applicable law.
You should not upload privileged attorney-client communications or attorney work product unless your attorney has advised you that doing so is appropriate.
16. LIMITED CONFIDENTIALITY BETWEEN USERS
Users shall not misuse nonpublic information obtained from another User through RealAly.
A User may use information received during a Session only for legitimate purposes connected with the Session and may not exploit confidential information for personal or competitive advantage.
Nothing in these Terms creates attorney-client privilege or any other legal privilege that would not otherwise exist.
RealAly cannot guarantee that another User will comply with confidentiality obligations.
17. NO CLIENT OR LEAD POACHING
No User may use RealAly-originated confidential information to knowingly pursue, solicit, contact, divert, represent, or acquire another User's identifiable:
- client;
- customer;
- lead;
- prospect;
- listing;
- buyer;
- seller;
- tenant;
- landlord;
- referral source; or
- transaction opportunity.
This section prohibits misuse of access obtained through RealAly. It does not prohibit lawful competition or contact based upon information independently obtained outside RealAly.
18. PLATFORM-BASED RECRUITING RESTRICTION
RealAly is not a recruiting database.
A User may not use another User's RealAly profile, Session, contact information, booking relationship, or Platform-originated access primarily to recruit that User to:
- another brokerage;
- a team;
- an employer;
- a franchise;
- a revenue-sharing organization;
- a downline or sponsorship arrangement; or
- another professional affiliation.
Prohibited conduct includes repeated recruiting pitches, recruiting links, compensation presentations, affiliation incentives, and follow-up outreach initiated because of access obtained through RealAly.
This restriction is limited to misuse of RealAly-originated relationships and information.
It does not prohibit lawful recruiting based upon a genuinely pre-existing relationship, independently acquired information, or contact unrelated to RealAly.
19. NO SALES-FUNNEL ABUSE
Users shall not turn Sessions into undisclosed sales presentations.
An Advisor may recommend a useful product or service when relevant to the Agent's request, but must disclose any material financial interest, affiliate relationship, referral relationship, ownership interest, commission, or compensation connected to the recommendation.
No User may use RealAly primarily to funnel Users into unrelated:
- coaching programs;
- courses;
- software;
- marketing services;
- lead-generation services;
- investment programs;
- vendor arrangements;
- recruiting systems; or
- other paid offerings.
20. NO UNLAWFUL REFERRAL OR KICKBACK ARRANGEMENTS
Users shall not use RealAly to offer, request, give, receive, disguise, or facilitate any payment, gift, benefit, thing of value, referral compensation, kickback, unearned fee, or fee split prohibited by applicable law.
Advisor compensation provided through RealAly is compensation for legitimate advisory or educational services and shall not be conditioned upon the closing, value, financing, referral, or outcome of a real estate transaction unless RealAly expressly authorizes a lawful program structured for that purpose.
21. ANTITRUST AND INDEPENDENT COMPETITIVE DECISION-MAKING
Users may be competitors.
Each User must make independent business decisions.
Users shall not use RealAly to propose, solicit, coordinate, facilitate, encourage, or enter into an agreement or understanding with competitors concerning:
- commission rates;
- minimum commissions;
- maximum commissions;
- service fees;
- brokerage fees;
- pricing strategies;
- discounts;
- compensation structures;
- bids;
- customer allocation;
- client allocation;
- market allocation;
- geographic territories;
- boycotts;
- refusal-to-deal arrangements;
- employment compensation coordination;
- recruiting restraints between competing firms; or
- other competitively sensitive conduct.
Users may discuss general business principles, publicly available information, historical personal experience, and lawful negotiation strategies without agreeing to coordinate competitive conduct.
22. NO INTERFERENCE WITH EXISTING CONTRACTUAL RELATIONSHIPS
Users shall not knowingly use RealAly to induce another person to unlawfully breach a valid contract.
Users shall not misuse Platform information to interfere with another professional's valid exclusive brokerage or representation agreement.
23. FAIR HOUSING, DISCRIMINATION, AND ILLEGAL CONDUCT
Users may not use RealAly to facilitate unlawful discrimination or violations of applicable fair housing, civil rights, employment, consumer protection, or other laws.
Users may not request advice designed to facilitate illegal discrimination.
24. PROFESSIONAL CONDUCT
Users shall not engage in:
- harassment;
- threats;
- stalking;
- intimidation;
- discriminatory conduct;
- sexual harassment;
- hate-based conduct;
- impersonation;
- fraud;
- extortion;
- coercion;
- doxxing;
- retaliation;
- knowingly false accusations;
- deceptive conduct;
- malware distribution;
- unauthorized surveillance; or
- other conduct RealAly reasonably determines creates a material safety, security, legal, or integrity risk.
25. RECORDINGS, SCREENSHOTS, AND SESSION PRIVACY
Users may not secretly record, screen-record, photograph, livestream, reproduce, or distribute a private Session or private RealAly communication.
A User wishing to record a Session must obtain all legally required consents.
Where RealAly itself offers recording, transcription, note-taking, or similar functionality, RealAly may present additional notice or consent requirements.
26. AI-GENERATED CONTENT
RealAly may offer artificial intelligence or automated features, including summaries, recommendations, transcription, search, organization, or other assistance.
AI-generated output may contain errors, omissions, inaccurate interpretations, or outdated information.
AI output is not legal, brokerage, financial, tax, or other professional advice.
Users must independently verify material AI-generated information before relying upon it.
27. ACCOUNT SECURITY
Users are responsible for maintaining the security of their accounts.
You must promptly notify RealAly if you suspect unauthorized account access.
You may not share login credentials in a manner that allows unauthorized use.
RealAly is not responsible for losses caused by your failure to reasonably secure your credentials except to the extent applicable law provides otherwise.
28. PAYMENTS AND SUBSCRIPTIONS
Certain RealAly services may require a subscription, one-time payment, Platform fee, or other charge.
You authorize RealAly and its payment processors to charge applicable amounts disclosed at checkout.
Prices, billing intervals, renewal terms, and material subscription conditions will be disclosed before purchase.
Taxes may be added where required.
29. AUTOMATIC RENEWAL
If you purchase an automatically renewing subscription, the subscription will continue for successive billing periods until cancelled as described at purchase or in your account.
RealAly will provide legally required renewal and cancellation disclosures.
Cancellation stops future renewal unless otherwise disclosed but does not automatically entitle a User to a refund for an already-billed period.
30. CANCELLATIONS, RESCHEDULING, NO-SHOWS, AND REFUNDS
Bookings are subject to the cancellation, rescheduling, attendance, credit, and refund policy displayed on the Platform or during booking.
Users agree to review the applicable policy before confirming a booking.
RealAly may issue credits or refunds where required by law, required by its policies, or otherwise determined appropriate.
31. CHARGEBACKS AND PAYMENT DISPUTES
Users should contact RealAly regarding legitimate billing issues before initiating a chargeback where practical.
Fraudulent or bad-faith chargebacks may result in account suspension, collection activity, withholding of amounts otherwise payable, or other lawful action.
Nothing in this provision prevents a User from exercising lawful payment-dispute rights.
32. REALALY IS NOT AN ESCROW OR TRUST ACCOUNT HOLDER
Users shall not transmit earnest money, client funds, security deposits, escrow funds, or other transaction funds through RealAly unless RealAly expressly launches a legally authorized service for that purpose.
RealAly does not hold transaction trust funds.
33. THIRD-PARTY SERVICES
RealAly may integrate third-party payment processors, video providers, calendar providers, communications services, analytics providers, identity-verification services, or other vendors.
RealAly is not responsible for independent third-party services outside RealAly's reasonable control.
Third-party services may be subject to separate terms.
34. REVIEWS AND RATINGS
Users may submit truthful reviews reflecting genuine experiences.
Users may not submit:
- fake reviews;
- reviews of Sessions they did not experience;
- materially deceptive reviews;
- reviews created through impersonation;
- compensated reviews conditioned upon a particular sentiment;
- extortionate reviews; or
- reviews containing unlawfully disclosed confidential information.
RealAly does not require positive reviews.
RealAly may moderate reviews consistent with applicable law and Platform policy.
35. USER CONTENT
You retain ownership of User Content you lawfully own.
By submitting User Content to portions of the Platform intended for publication, display, processing, operation, moderation, or delivery, you grant RealAly a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, process, transmit, and display that content as reasonably necessary to operate, secure, improve, and provide the Platform.
This license does not authorize RealAly to publicly disclose confidential transaction information merely because it was provided privately.
36. REALALY INTELLECTUAL PROPERTY
RealAly and its licensors own the Platform, branding, interfaces, software, designs, databases, trademarks, copyrights, and proprietary materials, except for User Content and third-party materials.
Users may not copy, reverse engineer, scrape, resell, reproduce, create competing databases from, or commercially exploit RealAly's proprietary materials except as permitted by law or written authorization.
37. NO SCRAPING OR DATABASE EXTRACTION
Users may not scrape, harvest, download, compile, purchase, sell, or create marketing or recruiting databases from RealAly profiles or User information.
Automated collection of Platform data without authorization is prohibited.
38. PLATFORM CIRCUMVENTION
Users may not use RealAly primarily to identify each other and then deliberately move a relationship off-platform for the purpose of avoiding applicable RealAly fees, subscriptions, booking rules, safety features, or marketplace requirements.
This restriction does not prohibit ordinary professional relationships that arise independently or any activity RealAly expressly permits.
39. COMMUNICATIONS
RealAly may send transactional communications related to bookings, account security, policy updates, payments, support, safety, or Platform operation.
Marketing communications will be handled in accordance with applicable law and available preferences.
40. PRIVACY
RealAly's collection and use of personal information is governed by the RealAly Privacy Policy.
These Terms do not replace the Privacy Policy.
41. REPORTING AND INVESTIGATIONS
Users may report suspected violations.
RealAly may investigate reports and may request documents, communications, screenshots, recordings lawfully obtained, licensing information, or other relevant information.
Users shall not retaliate against a person for making a good-faith report.
42. PLATFORM ENFORCEMENT
RealAly may take reasonable enforcement action including:
- warning a User;
- removing content;
- limiting communication;
- cancelling a booking;
- pausing payouts;
- restricting account functionality;
- hiding an Advisor profile;
- suspending an account;
- requiring reverification;
- permanently terminating access; or
- notifying appropriate authorities where reasonably necessary or legally required.
RealAly may act immediately where it reasonably believes conduct poses a safety, fraud, security, confidentiality, regulatory, or legal risk.
43. NO GUARANTEE OF CONTINUED ACCESS
Access to RealAly is a privilege subject to these Terms.
RealAly does not guarantee that a User will remain eligible to participate in the marketplace.
44. PLATFORM AVAILABILITY
RealAly does not guarantee uninterrupted, error-free, or continuously available service.
The Platform may experience maintenance, outages, communication failures, third-party failures, security incidents, or technical errors.
Users remain responsible for transaction deadlines and should not rely upon RealAly as a deadline-management or emergency communication service.
45. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALALY PROVIDES THE PLATFORM ON AN "AS IS" AND "AS AVAILABLE" BASIS.
REALALY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, PROFESSIONAL COMPETENCE, AND RESULTS, EXCEPT WHERE SUCH DISCLAIMERS ARE PROHIBITED BY LAW.
REALALY DOES NOT WARRANT THAT ANY ADVISOR, USER, CONTENT, INFORMATION, OR RECOMMENDATION WILL BE ACCURATE, COMPLETE, CURRENT, SAFE, SUITABLE, OR SUCCESSFUL.
46. THIRD-PARTY USER CONDUCT
Users interact with independent third parties through RealAly.
To the maximum extent permitted by law, RealAly is not liable for the independent acts, omissions, statements, misconduct, advice, negligence, professional errors, licensing violations, fraud, or other conduct of another User.
Nothing in this provision waives liability that cannot legally be waived.
47. ASSUMPTION OF PROFESSIONAL RISK
You acknowledge that professional decisions involve judgment and risk.
You voluntarily assume responsibility for decisions made after receiving educational information through RealAly.
You agree that RealAly is not responsible for losses arising solely from your decision to follow, reject, misunderstand, or apply another User's advice.
48. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALALY AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST COMMISSIONS, LOST OPPORTUNITIES, LOST DATA, LOSS OF GOODWILL, TRANSACTION LOSSES, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALALY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
(A) ONE HUNDRED DOLLARS; OR
(B) THE AMOUNT OF FEES PAID BY YOU TO REALALY, OR RETAINED BY REALALY FROM AMOUNTS PAYABLE TO YOU, DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT APPLICABLE LAW DOES NOT PERMIT REALALY TO LIMIT OR EXCLUDE.
49. INDEMNIFICATION
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless RealAly and its owners, officers, directors, employees, affiliates, contractors, and agents from third-party claims, damages, liabilities, judgments, penalties, losses, and reasonable attorneys' fees arising from or relating to:
- your violation of these Terms;
- your violation of an applicable role-specific agreement;
- your violation of law or professional regulation;
- your misuse of another person's confidential information;
- your infringement of intellectual property or privacy rights;
- your professional services;
- information or content you provide;
- your transaction-related conduct;
- your fraud, misconduct, or unauthorized solicitation; or
- your acts or omissions causing harm to another person.
RealAly may assume control of the defense of a covered claim where appropriate.
50. DISPUTES BETWEEN USERS
RealAly is not a party to agreements or disputes arising independently between Users.
RealAly may assist with a dispute but has no obligation to adjudicate professional negligence, brokerage disputes, contractual disputes, client disputes, or other claims between Users.
RealAly's decision regarding Platform access, refunds, credits, moderation, or marketplace eligibility does not determine the legal rights of Users outside the Platform.
51. INFORMAL DISPUTE RESOLUTION
Before initiating arbitration against RealAly, a User shall provide written notice describing the dispute, requested relief, and relevant account information.
The parties shall attempt in good faith to resolve the dispute informally for at least thirty days.
This requirement does not prevent either party from seeking time-sensitive emergency relief where legally permitted.
52. BINDING INDIVIDUAL ARBITRATION
Except for matters eligible for small claims court and requests for temporary or injunctive relief concerning intellectual property, unauthorized access, security, confidential information, or misuse of Platform data, disputes between you and RealAly arising out of or relating to the Platform or these Terms shall be resolved through binding individual arbitration administered by the American Arbitration Association under the rules applicable to the dispute.
The Federal Arbitration Act shall govern the arbitration provision to the extent applicable.
The arbitrator may award any individualized remedy that a court could lawfully award.
Arbitration shall occur in Rutherford County, Tennessee, remotely, or at another mutually agreed location, subject to applicable law and arbitration rules.
53. CLASS ACTION AND REPRESENTATIVE ACTION WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND REALALY AGREE THAT CLAIMS SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.
NEITHER PARTY MAY ACT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION AGAINST THE OTHER EXCEPT WHERE SUCH WAIVER IS UNENFORCEABLE UNDER APPLICABLE LAW.
54. JURY TRIAL WAIVER
TO THE EXTENT A DISPUTE IS PERMITTED TO PROCEED IN COURT, YOU AND REALALY WAIVE THE RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.
55. ARBITRATION OPT-OUT
You may opt out of the arbitration provisions by providing written notice to hello@realaly.com within thirty days after first accepting these Terms.
An opt-out notice must identify your account and clearly state that you are opting out of arbitration.
Opting out of arbitration does not terminate the remainder of these Terms.
56. GOVERNING LAW
Except where federal law applies or applicable law requires otherwise, these Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
For disputes not subject to arbitration, the parties consent to the jurisdiction and venue of the state or federal courts located in Rutherford County, Tennessee, except where applicable law requires otherwise.
57. TERMINATION
You may stop using RealAly subject to any outstanding payment, subscription, payout, dispute, or other obligations.
RealAly may suspend or terminate access for violations of these Terms, safety concerns, fraud, legal risk, nonpayment, repeated complaints, licensing issues, or other legitimate Platform-integrity reasons.
58. SURVIVAL
Provisions concerning confidentiality, User information, intellectual property, payments owed, indemnification, limitation of liability, dispute resolution, arbitration, User misconduct, and other obligations intended by their nature to continue shall survive termination.
59. CHANGES TO TERMS
RealAly may modify these Terms.
Where required or appropriate, RealAly will provide advance notice of material changes.
Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.
RealAly may require affirmative re-acceptance of material changes.
60. ASSIGNMENT
You may not assign your rights or obligations under these Terms without RealAly's written consent.
RealAly may assign these Terms in connection with a merger, acquisition, financing, corporate restructuring, asset sale, or transfer of the Platform, subject to applicable law.
61. SEVERABILITY
If any provision is found unenforceable, the remaining provisions remain effective to the maximum extent legally permitted.
Any unenforceable provision shall be modified only to the minimum extent necessary to make it enforceable where permitted.
62. NO WAIVER
Failure to enforce a provision does not waive the right to enforce it later.
63. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, applicable role-specific agreement, booking policies, subscription terms, and expressly incorporated policies, constitute the agreement between you and RealAly concerning the Platform.
64. ORDER OF PRECEDENCE
If a role-specific agreement conflicts with these Terms concerning obligations unique to that role, the role-specific agreement controls as to that issue.
